Section 9.1 requires you to indemnify the vendor for "any and all claims" with no cap. If their software causes a data breach affecting your customers, you could be liable for unlimited damages.
Recommendation: Negotiate a mutual indemnity with caps tied to contract value, or require vendor to carry errors & omissions insurance.
Section 12.2 auto-renews for 24 months unless you provide 90 days written notice. Miss the deadline by one day and you're locked in for two more years at the current price.
